1. General Terms

1.1. SHROPEX Global Enterprise exports agricultural and related products as per buyer specifications.
1.2. All quotations, sales, and deliveries are subject to these Terms & Conditions unless otherwise agreed in writing.
1.3. The company reserves the right to modify or update these terms without prior notice.

2. Orders and Confirmation

2.1. All purchase orders must be submitted in writing (email or letter).
2.2. Orders are considered confirmed only after written acceptance and advance payment (if applicable).
2.3. Cancellation or modification of an order is not allowed once production or shipment has begun.

3. Pricing and Payment

3.1. All prices are quoted in INR or USD, FOB/CIF/CFR as agreed.
3.2. Payment terms will be as per proforma invoice — typically 100% advance or LC (Letter of Credit).
3.3. Any bank charges, foreign exchange differences, or transfer fees are the buyer’s responsibility.

4. Delivery and Shipment

4.1. Delivery will be made as per Incoterms 2020 (FOB, CIF, EXW, etc.) agreed in the contract.
4.2. Estimated delivery dates are subject to change due to customs, transport, or weather delays.
4.3. The company is not liable for delays beyond its control.

5. Quality and Inspection

5.1. Products will be supplied according to agreed quality standards and specifications.
5.2. Any inspection required by the buyer must be arranged before shipment at the buyer’s cost.
5.3. Once goods are shipped, SHROPEX Global Enterprise is not responsible for quality deterioration due to improper storage or handling by the buyer.

6. Packaging

6.1. Goods will be packed as per export standards suitable for transportation and as specified in the agreement.
6.2. Any special packing requirements must be communicated in advance and may involve additional charges.

7. Claims and Returns

7.1. Any claim for shortage or damage must be reported within 7 days of receipt of goods.
7.2. Returns are accepted only after mutual agreement and must comply with export-import laws.

8. Force Majeure

SHROPEX Global Enterprise shall not be liable for failure to perform obligations due to natural disasters, war, government restrictions, port closures, or other events beyond its control.

9. Jurisdiction and Governing Law

All disputes shall be governed by the laws of India, and the jurisdiction shall lie with the Courts of Sangli, Maharashtra.

10. Confidentiality

All business correspondence, buyer data, and pricing information shall remain confidential and not be disclosed to any third party.
